Node Service Terms of Service

These Terms govern your rights, obligations, and billing rules while using ZecCloud Apple Silicon dedicated node services. Logging into the console, completing an order, or accessing the platform in any way constitutes your acceptance of these Terms in full.

When These Terms Bind You

This document is the Terms of Service. "You" refers to the account holder or the person actually operating the account.

You are deemed to have read and agreed to these Terms in full upon any of the following:

  • Clicking "Agree", "Confirm", or similar buttons during registration, login, or checkout;
  • Accessing the website, console, or API in any manner;
  • Completing the account activation process.

If you do not accept any of these Terms, please stop using the service immediately. Persons under 18 may not register or use this service.

What the Platform Delivers

The platform's core delivery capabilities are as follows (subject to features actually live):

  • Dedicated physical node usage by period (daily / weekly / monthly / quarterly)
  • SSH command-line direct access
  • VNC graphical desktop access
  • Public network connectivity and bandwidth allocation
  • Basic technical support services

We may modify, add, or remove features without prior notice. The platform's actual delivery is authoritative — we bear no compensation obligation for feature changes.

Account Rules

Registration Requirements

You must provide accurate, truthful, and complete information and update it promptly when it changes. You are solely responsible for consequences arising from inaccurate information. Each user may hold only one primary account.

Credential Security

You are responsible for safeguarding your password and all login credentials. All actions taken under your account are deemed to be your own. If you discover unauthorized use, notify us via ticket as soon as possible. We cannot be held responsible for actions that occurred before the unauthorized access was reported.

Non-Transferability

You may not sell, lend, or sublease your account or its privileges without written authorization. Violations may result in immediate account suspension without refund.

Prohibited Activities

Upon discovery of any of the following, we may immediately terminate service without refund:

  • Violation of laws or regulations of any country or jurisdiction
  • Launching cyberattacks, DDoS, scanning, or penetrating third-party systems
  • Sending spam or conducting phishing attacks
  • Distributing malware, viruses, ransomware, or other malicious code
  • Unauthorized cryptocurrency mining
  • Operating proxies, VPNs, or large-scale traffic relay without written permission
  • Infringing the intellectual property, privacy, or other legal rights of third parties
  • Damaging platform infrastructure, network stability, or the interests of other users
  • Attempting to circumvent the platform's security or technical controls
We reserve the right to reasonably monitor usage activity. Upon suspected violations, we may suspend the node and initiate an investigation without prior notice; fees continue to accrue during the investigation in accordance with the Terms.

Payment & Renewal

Prepaid Billing Tiers

Fees are denominated in USD and must be prepaid before node activation. The confirmed billing tier (daily / weekly / monthly / quarterly) cannot be shortened to a shorter tier; amounts paid are non-refundable.

Auto-Renewal

If you do not disable auto-renewal in the console before the end of the current period, the system will automatically charge and renew at the same tier.

Price Adjustments

We reserve the right to adjust pricing. Prices within already-purchased periods remain unchanged; new prices take effect from the next billing cycle.

Tax Obligations

Prices shown on the platform do not include any applicable taxes. Tax obligations arising from your use of the service are your sole responsibility.

Availability & Maintenance

Availability Target

We target a monthly network availability of 99.0% (excluding scheduled maintenance and force majeure). This is an internal engineering goal and does not constitute a legally binding SLA.

Maintenance Operations

Scheduled maintenance will be announced in advance where possible; emergency actions may be taken without notice. Downtime during maintenance windows is excluded from availability calculations.

Fair Use of Resources

Each node has defined CPU, memory, disk, and bandwidth specifications. If your traffic patterns or operations unreasonably impact shared network infrastructure or other users, we may throttle or suspend the relevant resources without prior notice.

Data Backup Notice

You bear full responsibility for backing up data on your node. We accept no liability for data loss or unrecoverable data arising from any cause, including but not limited to:

  • Hardware failure or accidental damage
  • Data deletion following service termination or account suspension
  • User error or software defects
  • Natural disasters or other force majeure events

After subscription expiry or service termination, node data will be permanently deleted within 72 hours. This action is irreversible. Please migrate all important data before this deadline.

We recommend syncing critical data to independent object storage, off-site repositories, or other cloud storage, and maintaining offline or cross-region redundant backups.

Intellectual Property

The website interface, brand assets, copy, components, software code, and API documentation are the intellectual property of ZecCloud and are protected by law. Reproduction, derivative works, or redistribution without permission is prohibited.

Ownership of data you store on your node remains yours. You grant us a limited, non-exclusive technical processing license during the service period to enable hosting and data transfer.

You agree that we may use anonymized, aggregated operational metrics for platform performance optimization and feature development.

Disclaimer of Warranties

Except as required by mandatory law, we make no implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We are not liable for:

  • Outages caused by backbone network or carrier link failures
  • Natural disasters, war, government actions, epidemics, or other force majeure events
  • Third-party service disruptions such as payment processors or upstream bandwidth providers
  • Hacking or malicious third-party actions
  • Damage or data loss caused by user error
  • Third-party claims arising from content you host
  • Downtime taken in compliance with judicial or regulatory requirements

Liability Cap

For all claims relating to these Terms or the service, ZecCloud's aggregate liability shall not exceed the service fees you actually paid to us during the most recent calendar month prior to the dispute.

The following types of losses are excluded from liability, even if we have been advised of the possibility of such losses:

  • Indirect, incidental, special, or punitive damages
  • Loss of profits, business opportunities, goodwill, or commercial value of data
  • Losses arising from business interruption

If applicable law in a specific jurisdiction does not permit the above limitations, the Terms apply to the maximum extent permitted by law in that jurisdiction.

Service Termination

Termination by You

You may disable auto-renewal in the console at any time. The node will stop running after the current period ends; amounts paid are non-refundable.

Unilateral Platform Termination

Under the following circumstances, we may immediately suspend or permanently terminate service without prior notice and without refund:

  • Violating the prohibited activities listed in Section 4
  • Overdue billing exceeding 72 hours
  • Suspected fraud or use of the service for illegal purposes
  • Legal obligation to comply with law enforcement or regulatory requirements
  • Actions that seriously endanger platform infrastructure or other users

Data Deletion

After service termination, we will permanently delete all node data associated with the account within 72 hours. This is irreversible.

Agreement Updates

We may revise these Terms from time to time. Revisions take effect upon publication on this page with an updated date at the top. Continued use of the service after an update constitutes acceptance of the revised Terms. If you disagree with the revision, stop using the service before it takes effect. Already-purchased and unexpired periods remain primarily governed by the pre-revision version.

Governing Law & Dispute Resolution

Good-Faith Negotiation

Disputes should first be addressed via ticket. We will provide an initial response within approximately 5 business days and will make every effort to reach a resolution through negotiation.

Governing Law

These Terms are governed by the laws of the People's Republic of China (excluding conflict-of-law rules). If negotiation fails, disputes shall be submitted to the competent People's Court in the jurisdiction of the operator's registered address.

Severability

If any provision of these Terms is found to be invalid, it shall be modified to the minimum necessary extent; the remaining provisions shall remain in full force and effect.
